1.) Our Services

Ourland Highroad provides marketing systems, local-business support, business-directory services, communication tools, and related services for businesses and users, principally serving communities in Ohio, Kentucky, and Indiana.

Services may include, depending on the arrangement:

Marketing-system setup, management, and support

Business-directory profiles, listings, and related promotional services

Website forms, customer relationship management, scheduling, communication, and automation tools

Customer-support communications

Phone, voicemail, AI-assisted voice, and text-message communication services

Payment processing and related account administration

Other services described in a proposal, order form, invoice, service agreement, or statement of work

The specific services, pricing, deliverables, timing, and responsibilities applicable to a customer may be further described in a separate written agreement, proposal, order form, invoice, or statement of work. If a separate written agreement conflicts with these Terms, the separate agreement controls only as to the conflicting subject matter.

2.) Eligibility

Our websites and services are intended for adults aged 18 or older.

You represent that:

You are at least 18 years old;

You have the authority to enter into these Terms;

If using the services for a business or organization, you are authorized to bind that business or organization to these Terms; and

You will use the services only in compliance with applicable law.

Our services are not directed to children under 13, and we do not knowingly permit children under 13 to use the services.

3.) Accounts and Information

You may be required to provide accurate, current, and complete information to access certain services, create a listing, make a payment, or receive communications.

You agree to:

Keep your information accurate and up to date;

Protect account credentials and not share them with unauthorized persons;

Notify us promptly if you suspect unauthorized account access or use; and

Accept responsibility for activities occurring through your account, to the extent permitted by law.

We may suspend or terminate access where information is inaccurate, misleading, unlawful, or creates a security or compliance concern.

4. Business Listings and User Content

You may submit content for business-directory listings, website pages, forms, communications, campaigns, profiles, reviews, or related services (“User Content”). User Content may include business names, contact information, images, logos, descriptions, offers, links, and other materials.

You retain ownership of your User Content. However, by submitting User Content, you grant Ourland Highroad a non-exclusive, worldwide, royalty-free license to host, reproduce, display, adapt, distribute, and use that User Content as reasonably necessary to provide, promote, operate, and improve the applicable services.

You represent and warrant that:

You own or have all necessary rights and permissions to submit and use the User Content;

Your User Content is accurate and not misleading;

Your User Content does not infringe another party’s intellectual-property, privacy, publicity, or other rights; and

Your User Content complies with applicable laws, regulations, advertising rules, and platform requirements.

We may remove, refuse, modify, or suspend User Content or listings that we reasonably believe violate these Terms, are inaccurate, create legal or reputational risk, or are otherwise inappropriate for the service.

5.) Payments

Certain services require payment. Prices, billing schedules, recurring charges, applicable taxes, and payment terms will be stated in the applicable proposal, order form, invoice, service agreement, or checkout process.

Payments may be processed through Stripe or another authorized payment processor. By submitting payment information, you authorize the applicable processor to charge the amounts due under your selected service arrangement.

You are responsible for providing valid payment information and for all fees, taxes, and charges associated with your use of paid services.

Unless a separate written agreement states otherwise:

Fees paid for completed services are non-refundable;

You must notify us promptly of billing errors or unauthorized charges;

We may suspend paid services for overdue amounts; and

You remain responsible for amounts due before cancellation, suspension, or termination.

6.) Text Messages, Calls, Voicemail, and AI-Assisted Communications

Ourland Highroad may communicate through phone calls, voicemail, automated communications, AI-assisted voice systems, and text messages.

By providing a phone number, requesting information, submitting a form, creating an account, purchasing services, or otherwise opting in, you agree that we may contact you regarding your inquiry, account, requested services, appointments, support, billing, transactions, and other permitted business communications.

Where you separately provide the required consent for marketing text messages, you agree to receive recurring promotional or marketing messages from Ourland Highroad. Consent to marketing text messages is not a condition of purchasing goods or services.

Message frequency may vary. Message and data rates may apply.

You may opt out of recurring text messages at any time by replying STOP. For help, reply HELP or contact us at [email protected].

You agree not to:

Provide a phone number that you do not own or have authorization to use;

Use our services to send unwanted, deceptive, unlawful, harassing, or abusive calls or messages;

Use purchased, rented, harvested, or unlawfully obtained contact lists;

Bypass opt-out requests or consent requirements; or

Use our services in violation of applicable telecommunications, consumer-protection, privacy, or messaging laws.

If we provide messaging, phone, AI voice, or automation services on your behalf, you are responsible for obtaining all legally required notices, permissions, opt-ins, and consents from your contacts before initiating communications. You must also maintain appropriate records of consent and honor opt-out requests promptly.

7.) A2P Messaging Compliance

Where applicable, Ourland Highroad intends to operate messaging practices consistent with applicable A2P messaging requirements, including transparency, consent, opt-out functionality, permitted-use expectations, and other relevant carrier or platform standards.

However, your use of any messaging, automation, calling, or communication service is also subject to your own legal and compliance responsibilities. You are responsible for ensuring that your campaigns, contact lists, message content, consent practices, disclosure language, and business operations comply with all laws, carrier requirements, platform rules, and customer communication preferences applicable to your business.

We may suspend, reject, modify, or terminate a messaging campaign, phone number, automation, account, or service if we reasonably believe it violates these Terms, applicable law, carrier rules, platform requirements, or consent and opt-out standards.

8.) Prohibited Uses

You may not use the websites or services to:

Violate any applicable law, regulation, court order, or third-party right;

Send spam, unlawful text messages, unsolicited calls, misleading communications, or harmful content;

Misrepresent your identity, business, affiliation, products, services, or offers;

Engage in fraud, phishing, impersonation, or deceptive marketing;

Upload malware, harmful code, or content intended to disrupt systems;

Interfere with the security, performance, or operation of the websites or services;

Attempt unauthorized access to any account, system, data, or network;

Collect personal information from others without a lawful basis or appropriate consent;

Infringe copyrights, trademarks, trade secrets, privacy rights, or other intellectual-property rights;

Use the services for unlawful, discriminatory, harassing, threatening, or abusive conduct; or

Resell, sublicense, or exploit the services without our written permission.

9.) Third-Party Services

Our services may integrate with or rely on third-party platforms and providers, including Stripe, Google Analytics, HighLevel, and Claude Cowork.

Your use of third-party services may be governed by separate terms, privacy policies, acceptable-use policies, and fees established by those providers. Ourland Highroad does not control and is not responsible for third-party services, their availability, content, security, policies, or practices.

We may change, replace, add, or discontinue third-party integrations when reasonably necessary to operate or improve the services.

10.) Intellectual Property

The websites, services, software, systems, designs, logos, branding, text, graphics, content, processes, and other materials created or provided by Ourland Highroad, excluding User Content, are owned by or licensed to Ourland Highroad and are protected by applicable intellectual-property laws.

Subject to these Terms and any applicable paid-service arrangement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the services for their intended business or personal purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, create derivative works from, or otherwise exploit our services or materials except where expressly permitted in writing or required by applicable law.

11.) Privacy

Your use of our websites and services is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, disclose, and protect personal information, including information associated with calls, voicemails, text messaging, website analytics, payments, and customer communications.

12.) Disclaimers

The websites and services are provided on an “as is” and “as available” basis, to the fullest extent permitted by law.

Ourland Highroad does not guarantee:

Specific marketing results, revenue, sales, lead volume, search ranking, conversion rates, customer acquisition, or business outcomes;

Continuous, uninterrupted, error-free, or fully secure access to the services;

That directory listings, third-party platforms, telephone networks, carrier systems, or internet services will always be available;

That information submitted by users, businesses, or third parties is complete, accurate, or current; or

That any AI-generated output, summary, recommendation, transcript, message, or content is error-free, complete, appropriate for every purpose, or a substitute for professional judgment.

You are responsible for independently reviewing and approving content, campaigns, automations, communications, listings, and business decisions before publication or use.

13.) Limitation of Liability

To the fullest extent permitted by law, Ourland Highroad and its owners, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, reputational harm, or business interruption, arising out of or related to your use of, or inability to use, the websites or services.

To the fullest extent permitted by law, Ourland Highroad’s total liability for any claim arising out of or related to the websites or services will not exceed the amount you paid directly to Ourland Highroad for the specific service giving rise to the claim during the three months before the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

14.) Indemnification

You agree to defend, indemnify, and hold harmless Ourland Highroad, its owners, employees, contractors, affiliates, agents, licensors, and service providers from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

Your use of the websites or services;

Your User Content;

Your communications, campaigns, contact lists, calls, text messages, or automations;

Your violation of these Terms;

Your violation of applicable law or a third party’s rights; or

Any allegation that your content, communications, services, or business practices are unlawful, infringing, deceptive, or noncompliant.

15.) Suspension and Termination

We may suspend, limit, or terminate your access to the websites or services at any time if we reasonably believe that you have violated these Terms, created a security or compliance risk, failed to pay amounts due, or used the services in a manner that may harm Ourland Highroad, users, third parties, or service providers.

You may stop using the services at any time, subject to any payment, cancellation, contract-term, or notice obligations in your applicable agreement.

Sections that by their nature should survive termination, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions—will survive termination.

16.) Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the applicable website with a revised Effective Date.

Your continued use of the websites or services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

17.) Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms, the websites, or the services will be brought exclusively in the state or federal courts located in Ohio, unless applicable law requires otherwise. You consent to the jurisdiction and venue of those courts.

18.) Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

These Terms, together with the Privacy Policy and any applicable written service agreement, proposal, order form, invoice, or statement of work, constitute the entire agreement between you and Ourland Highroad regarding the applicable websites or services.
